1. Agreement and Acceptance

By accessing or using the Jarvis application, website, or services (collectively, "Service"), you agree to be legally bound by these Terms and Conditions ("Agreement"). If you do not agree to all terms, you may not use the Service. Jarvis, Inc. ("Company," "we," "us") reserves the right to modify these terms at any time. Your continued use of the Service following notice of changes constitutes acceptance of updated terms.

2. Eligibility and Account Registration

2.1 Age Requirement: You must be at least 18 years old and capable of entering into a binding contract to use the Service. By using Jarvis, you represent and warrant that you meet this requirement.

2.2 Account Information: You agree to provide accurate, current, and complete information during registration and keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to notify us immediately of any unauthorized access to your account.

2.3 One Account Per User: You may not create multiple accounts to circumvent restrictions or for fraudulent purposes. Duplicate or fraudulent accounts will be terminated.

3. Service Description

3.1 Marketplace Platform: Jarvis is a marketplace platform that uses AI to connect our family with independent service providers for household services, including but not limited to:

  • Childcare and babysitting
  • House cleaning and janitorial services
  • Handyman and repair services
  • Other miscellaneous household services

3.2 Not a Direct Provider: Jarvis does not directly provide services. We facilitate connections between our family and independent service providers. Service providers are independent contractors, not employees of Jarvis.

3.3 AI-Assisted Booking: Jarvis uses artificial intelligence to generate text message recommendations, compose communications, and match users with providers. All AI-generated content is subject to your review and approval before being sent to service providers.

4. User Obligations and Acceptable Use

4.1 Prohibited Conduct: You agree not to:

  • Use the Service for illegal purposes or to violate any laws
  • Harass, threaten, or abuse service providers or other users
  • Submit false, misleading, or fraudulent information
  • Attempt to gain unauthorized access to the Service
  • Interfere with the Service's operation or security
  • Reverse engineer or attempt to extract the AI models
  • Scrape data from the Service without written permission
  • Use the Service to engage in discrimination, hate speech, or exploitation
  • Post sexually explicit, violent, or illegal content

4.2 Compliance: You are responsible for complying with all applicable laws and regulations in your jurisdiction when using the Service.

5. Service Providers and Disclaimer of Endorsement

5.1 Independent Contractor Status: Service providers are independent contractors. Jarvis does not control, supervise, or employ service providers. We do not guarantee the quality, safety, or legality of services provided.

5.2 Background Checks: Jarvis may offer optional background checks through third-party services. Background checks are not a guarantee of safety or reliability. Jarvis is not responsible for:

  • Inaccuracies in background check information
  • Services provided by individuals with clean background checks
  • Criminal acts committed by service providers
  • Violations of your expectations or instructions

5.3 No Vetting Guarantee: Jarvis does not fully vet all service providers. You are responsible for:

  • Reviewing provider profiles and reviews
  • Verifying credentials and certifications
  • Conducting additional background checks if desired
  • Setting clear expectations and boundaries
  • Monitoring service quality

5.4 Provider Ratings and Reviews: Ratings and reviews are user-submitted and may not reflect actual service quality. Jarvis does not verify the accuracy of reviews and is not responsible for false or misleading content.

6. Booking and Cancellation

6.1 Booking Process: Bookings are confirmed when both you and the service provider accept the terms through the Service. Jarvis does not guarantee provider availability or that any booking will be completed.

6.2 Cancellation Policy:

  • By User: Cancellations made 24 hours or more before the appointment are free. Cancellations within 24 hours may incur a cancellation fee (non-refundable), which will be displayed at booking.
  • By Provider: Providers may cancel with notice. Refunds will be issued per our refund policy.
  • No-Shows: If you fail to appear for a scheduled appointment, the provider may charge the full service fee.

6.3 Rescheduling: Rescheduling requests must be made through the Service. Rescheduling may incur additional fees or be subject to provider availability.

7. Payment Terms

7.1 Payment Processing: Payments are processed through third-party payment processors. By using the Service, you authorize Jarvis and our payment processors to charge your selected payment method for services rendered.

7.2 Pricing: Service pricing is determined by individual service providers and may vary based on factors such as location, time, and complexity. Jarvis displays estimated pricing, but final pricing is confirmed by the service provider.

7.3 Fees: Jarvis may charge service fees, platform fees, or convenience fees. Fees will be clearly disclosed before you confirm a booking.

7.4 Taxes: You are responsible for all applicable taxes. Jarvis will collect taxes where required by law.

7.5 Billing Disputes: You must report billing disputes within 30 days of the transaction. Claims reported after 30 days cannot be disputed through Jarvis. For payment processor disputes, the payment processor's terms govern.

8. Liability and Disclaimers

8.1 LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, JARVIS SHALL NOT BE LIABLE FOR:

  • ANY INJURY, DEATH, OR PROPERTY DAMAGE CAUSED BY SERVICE PROVIDERS
  • THEFT, LOSS, OR DAMAGE TO YOUR HOME OR BELONGINGS
  • BREACH OF CONTRACT OR NEGLIGENCE BY SERVICE PROVIDERS
  • FAILURE TO COMPLETE SERVICES OR POOR SERVICE QUALITY
  • EMOTIONAL DISTRESS, PERSONAL INJURY, OR PSYCHOLOGICAL HARM
  • ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

8.2 AS-IS SERVICE: The Service is provided on an "AS-IS" and "AS-AVAILABLE" basis. Jarvis makes no warranties, express or implied, regarding:

  • The availability or functionality of the Service
  • The accuracy of AI-generated recommendations or communications
  • The reliability or safety of service providers
  • Fitness for a particular purpose
  • Non-infringement of third-party rights

8.3 Childcare Services Disclaimer: Jarvis does not provide childcare services directly. You are responsible for:

  • Verifying provider qualifications and certifications
  • Conducting background checks and reference checks
  • Setting clear safety protocols and emergency procedures
  • Monitoring care and communicating expectations
  • Selecting CPR-certified providers if desired

Jarvis is not responsible for injury to, neglect of, or harm to children. You assume all risk and responsibility for childcare arrangements made through Jarvis.

8.4 Home Access Disclaimer: When you grant service providers access to your home:

  • You assume all risk of theft, damage, or misuse
  • Jarvis does not monitor or insure against loss
  • You are responsible for securing valuables and sensitive information
  • You should verify provider identity before granting access

Jarvis is not responsible for theft, property damage, or unauthorized access by service providers.

8.5 Cap on Liability: In no event shall Jarvis's total liability exceed the lesser of (i) the amount you paid for services in the preceding 12 months, or (ii) $100.

9. Indemnification

You agree to indemnify, defend, and hold harmless Jarvis, its officers, employees, and agents from any claims, damages, liabilities, or expenses (including attorney fees) arising from:

  • Your use of the Service or violation of these terms
  • Your interactions with service providers
  • Your breach of any law or regulation
  • Claims by third parties related to your use of the Service
  • Injury to persons or property resulting from services booked through Jarvis

10. Dispute Resolution and Arbitration

10.1 Informal Resolution: Before initiating arbitration or litigation, you agree to contact Jarvis at disputes@jarvisai.com to attempt to resolve the dispute informally.

10.2 Binding Arbitration: Any claim or dispute arising from or relating to this Agreement, the Service, or your use thereof shall be resolved by binding arbitration, not in court. Arbitration shall be conducted by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration and Mediation Rules.

10.3 Class Action Waiver: You agree not to participate in class actions, class arbitrations, or representative actions against Jarvis. All disputes must be brought in your individual capacity.

10.4 Exceptions: Notwithstanding the foregoing, disputes involving intellectual property infringement, trade secrets, or emergency injunctive relief may be brought in court.

11. Intellectual Property

11.1 Service Ownership: The Service, including all software, algorithms, AI models, text, graphics, and content, are owned by Jarvis or our licensors. You may not reproduce, distribute, or modify any content without written permission.

11.2 User Content: You retain ownership of content you submit to Jarvis (e.g., reviews, messages, profile information). By submitting content, you grant Jarvis a non-exclusive, worldwide, perpetual license to use, reproduce, and display your content for service improvement and marketing purposes.

11.3 Trademarks: "Jarvis" and related logos are trademarks of MartechMatthew LLC You may not use these marks without written consent.

12. Termination

12.1 Termination by Jarvis: Jarvis may suspend or terminate your account at any time, for any reason, without notice or liability, including if you:

  • Violate these terms
  • Engage in fraudulent or illegal activity
  • Harass or abuse service providers
  • Repeatedly book and cancel appointments

12.2 Termination by You: You may terminate your account at any time by submitting a request through your account settings. Upon termination, your access to the Service will be removed.

12.3 Survival: Provisions regarding indemnification, liability, dispute resolution, and intellectual property shall survive termination.

13. Third-Party Services and Links

Jarvis may integrate with or link to third-party services, payment processors, SMS providers, and background check services. We are not responsible for:

  • The accuracy or availability of third-party services
  • Data shared with third-party providers
  • Terms and policies of third parties

You are responsible for reviewing the privacy policies and terms of third-party services.

14. Modifications to the Service

Jarvis may modify, suspend, or discontinue the Service or any features at any time without notice or liability. We are not obligated to maintain the Service indefinitely.

15. Severability

If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Jarvis regarding the Service and supersedes all prior agreements, understandings, and negotiations.

17. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. However, arbitration shall be conducted in accordance with JAMS rules as specified in Section 10.

19. Waiver

The failure of Jarvis to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.

20. Assignment

You may not assign or transfer these terms or your rights under them without written consent. Jarvis may assign these terms to affiliates or successors.
